Terms of Service

WPSoil.com  ·  Last updated: January 2025

These Terms explain how WPSoil works with website visitors, project leads, direct clients, care plan clients, and agency partners. They are written for WordPress design, Kadence builds, redesigns, Starter Sites, WooCommerce projects, optimization work, and ongoing care plans.

WPSoil is operated by Jabran Ali. In these Terms, “WPSoil,” “we,” “us,” and “our” refer to the WPSoil website, brand, and services. “Client,” “you,” and “your” refer to anyone who visits the website, requests a quote, buys a service, joins a care plan, hires us through a platform, or works with us directly.

1. Acceptance of these Terms

By using wpsoil.com, submitting a form, requesting a quote, booking a consultation, approving a proposal, paying an invoice, purchasing a service, or working with WPSoil, you agree to these Terms of Service.

If you hire WPSoil through Fiverr, Upwork, or another marketplace, that platform’s terms, order rules, payment rules, dispute process, cancellation rules, and communication rules also apply. If there is a conflict between these Terms and the rules of the platform where the order is placed, the platform rules may control that order.

2. Services WPSoil provides

WPSoil provides WordPress-related services, including but not limited to:

  • WordPress website design and development.
  • Kadence and Gutenberg website builds.
  • Starter Site Blueprint customization.
  • Website redesigns and migrations.
  • WooCommerce store setup and optimization.
  • Website speed and Core Web Vitals optimization.
  • Local SEO landing pages and basic on-page SEO setup.
  • WordPress care plans, updates, backups, monitoring, maintenance, and support.
  • White-label WordPress support for agencies and consultants.
  • Related consulting, troubleshooting, website audits, and project support.

3. Quotes, proposals, and project scope

Every project is different. Website pricing, timelines, and deliverables depend on the package, number of pages, content readiness, design complexity, integrations, revisions, features, third-party tools, hosting setup, and client response time.

Before work begins, we aim to confirm the important details in writing, including:

  • Project type and package.
  • Pages, sections, features, and deliverables.
  • Timeline and launch expectations.
  • Client responsibilities and required materials.
  • Revision rounds or included support.
  • Payment amount, deposit, milestone, or billing structure.
  • Any exclusions, add-ons, or third-party costs.

A quote covers only the work listed in the approved scope. Extra pages, new features, advanced integrations, additional revisions, copywriting, premium plugins, complex fixes, emergency work, or changes requested after approval may require a separate quote.

4. Client responsibilities

To keep a project moving, the client is responsible for providing what is needed on time, including:

  • Accurate project requirements, business details, and goals.
  • Website content, images, logos, brand assets, service information, products, policies, and legal text.
  • Hosting, domain, WordPress, plugin, email, analytics, DNS, payment gateway, and platform access where needed.
  • Prompt feedback, approvals, and clarification when requested.
  • The right to use any content, images, logos, fonts, videos, reviews, copy, data, or materials provided to WPSoil.
  • Final review of all content, links, forms, pricing, policies, legal pages, products, payment settings, and business claims before launch.

Delays in providing content, access, feedback, approvals, or payment may delay the project timeline. WPSoil is not responsible for delays caused by missing materials, slow feedback, third-party tools, hosting issues, domain issues, payment gateway approval, or platform limitations.

5. Payments, deposits, and invoices

Payment terms are confirmed before work begins. Depending on the project, payment may be made through a freelance marketplace, direct invoice, deposit, milestone, subscription, or other agreed method.

Unless otherwise agreed in writing:

  • Deposits and first milestones are required before work begins.
  • Final files, launch, migration, or handover may be held until the balance is paid.
  • Recurring care plans are billed monthly in advance.
  • Taxes, platform fees, payment processing fees, currency conversion fees, hosting fees, plugin licenses, domain fees, and third-party costs are not included unless clearly stated.
  • Late or failed payments may pause work, support, care plan services, or delivery.

6. Timelines and delivery

Delivery estimates are based on the approved scope and the assumption that the client provides content, access, feedback, and approvals on time. Starter Sites and smaller websites may be delivered quickly when materials are ready, but timelines are estimates unless a specific date is agreed in writing.

WPSoil is not responsible for timeline changes caused by client delays, third-party outages, hosting issues, domain propagation, plugin conflicts, payment gateway approval, scope changes, platform review delays, or unexpected technical problems outside our control.

7. Revisions and change requests

Revision rounds are included only as stated in the quote, package, order, or proposal. A revision means reasonable adjustments to work already included in the approved scope. Revisions do not include new pages, new features, complete redesigns, new content strategy, major layout changes after approval, advanced integrations, or work that was not part of the original scope.

Change requests outside the approved scope may require an additional quote, extra time, or a new milestone. WPSoil may pause work until the revised scope and cost are approved.

8. Content, images, copy, and legal text

Unless copywriting is included in the project scope, clients are responsible for providing final content. WPSoil may help organize, improve, rewrite, or structure content when included in the project, but the client remains responsible for reviewing and approving accuracy before launch.

Clients are responsible for ensuring that all business claims, prices, testimonials, legal pages, refund policies, privacy notices, product details, service descriptions, regulated-industry statements, and compliance information are accurate and legally appropriate for their business and location.

9. Third-party services, plugins, hosting, and licenses

Websites often depend on third-party tools, including hosting, domains, DNS, email, WordPress plugins, themes, payment gateways, analytics, forms, security tools, booking systems, CRMs, shipping tools, Google services, Meta tools, and other integrations.

Unless stated in writing, third-party fees, premium plugin licenses, hosting plans, domain renewals, email hosting, payment gateway fees, app fees, API costs, stock assets, fonts, and subscription tools are the client’s responsibility. WPSoil is not responsible for third-party pricing changes, outages, policy changes, plugin updates, discontinued products, account restrictions, or service interruptions.

10. Website access, credentials, and security

Clients may need to provide WordPress, hosting, domain, DNS, email, plugin, analytics, payment, or marketplace access. Clients should use secure sharing methods, temporary access, role-based accounts, and unique passwords wherever possible.

WPSoil is not responsible for damage, downtime, data loss, plugin conflicts, hacked accounts, or website changes caused by weak passwords, insecure sharing, unauthorized users, third-party access, client edits, hosting problems, or tools outside our control.

11. Staging, launch, and post-launch fixes

Where appropriate, WPSoil provides a staging preview before launch. Clients are responsible for reviewing the website carefully before approval, including content, spelling, links, forms, buttons, pricing, legal pages, contact details, products, checkout, and mobile layout.

If included in the project, post-launch fixes usually cover small bugs related to the approved scope and WPSoil’s work. They do not cover new features, additional pages, new content, third-party outages, client-made changes, hosting problems, plugin license issues, malware, SEO ranking changes, or unrelated technical issues unless agreed separately.

12. Care Plans and monthly support

Care Plans are monthly WordPress support services. The exact plan details, included tasks, response expectations, edit hours, reporting, and support channels are based on the plan you choose and the scope confirmed in writing.

Unless otherwise agreed:

  • Care Plans are month-to-month and billed in advance.
  • Included monthly edit or development time does not roll over to future months.
  • Pre-existing malware, broken websites, major plugin conflicts, hacked sites, major rebuilds, custom features, complex integrations, and historical cleanup may require a separate quote.
  • Backups, monitoring, updates, scans, and support reduce risk but do not guarantee that a website will never break, go offline, be attacked, or have third-party issues.
  • If a payment fails or a care plan is cancelled, support may stop at the end of the paid period.
  • Cancellation should be requested before the next billing period to avoid renewal.

13. WooCommerce and e-commerce projects

For WooCommerce and e-commerce projects, clients are responsible for product accuracy, pricing, taxes, shipping, refunds, privacy policies, terms, payment gateway accounts, chargebacks, legal compliance, customer communication, inventory, product images, product claims, and any regulated product requirements.

WPSoil can help configure WooCommerce settings, design store pages, improve checkout flow, and support payment integration, but the client is responsible for testing the live checkout, payment account approval, tax rules, shipping rules, legal compliance, and ongoing store operations.

14. SEO, speed, rankings, and results

WPSoil builds with performance, SEO basics, usability, and conversion flow in mind. However, we do not guarantee search rankings, traffic, sales, revenue, leads, exact PageSpeed scores, Core Web Vitals results, or business outcomes.

Results can be affected by hosting, plugins, third-party scripts, tracking tools, ads, content quality, competition, backlinks, Google updates, market demand, budget, client decisions, and ongoing marketing activity.

15. Intellectual property and ownership

After full payment is received, the client owns the final website content, custom design work, and deliverables created specifically for that project, except for third-party tools, plugins, themes, stock assets, fonts, libraries, platform components, and WPSoil’s pre-existing materials.

WPSoil retains ownership of its general methods, starter structures, frameworks, reusable blocks, design systems, internal workflows, templates, know-how, educational content, and pre-existing materials unless transferred in writing. Third-party items remain subject to their own license terms.

16. Portfolio, testimonials, and case studies

WPSoil may request permission to show completed work in a portfolio, case study, testimonial, website, or marketing material. For white-label projects, private client work, NDA projects, or projects where public use is not allowed, we will respect agreed confidentiality terms.

If a client does not want their project shown publicly, this should be communicated before or during the project. WPSoil will not intentionally publish confidential client details without permission.

17. White-label and agency work

White-label and agency work may include additional confidentiality, communication, branding, project management, NDA, and delivery requirements. These requirements should be confirmed in writing before work begins.

Agency partners are responsible for managing their own client relationships, final approvals, legal responsibilities, end-client content, and promises made to their clients unless WPSoil has separately agreed to handle a specific responsibility.

18. Cancellations and refunds

Cancellation and refund rules depend on the order type, platform, project stage, and approved scope. Unless otherwise stated:

  • Work already completed, time already spent, strategy work, design concepts, development work, setup work, audits, consultations, digital deliverables, and approved milestones are generally not refundable.
  • Deposits may be non-refundable once planning, discovery, setup, design, or development has started.
  • If a project is cancelled before work begins, refund options may be reviewed based on the payment method, platform rules, and any processing costs.
  • For marketplace orders, the platform’s cancellation and dispute rules apply.
  • Monthly care plans can be cancelled before the next billing period. Paid monthly fees are generally not refundable for a period already started.

19. Acceptable use and prohibited content

Clients may not use WPSoil services for illegal, deceptive, harmful, infringing, abusive, or malicious activity. We may refuse or stop work on projects involving illegal content, stolen content, malware, phishing, scams, hate content, unauthorized data collection, copyright infringement, or anything that creates legal, ethical, or security concerns.

20. No legal, financial, tax, or regulated-industry advice

WPSoil provides website, WordPress, design, development, SEO setup, optimization, and support services. We do not provide legal, financial, tax, medical, insurance, compliance, or regulated-industry advice. Clients are responsible for getting professional advice where required for their industry, country, products, services, policies, and website content.

21. Limitation of liability

To the maximum extent permitted by law, WPSoil is not liable for indirect, incidental, special, consequential, punitive, or business losses, including lost profits, lost revenue, lost sales, lost rankings, lost traffic, lost data, downtime, reputational damage, third-party claims, plugin failures, hosting failures, payment gateway issues, or security incidents outside our reasonable control.

To the maximum extent permitted by law, WPSoil’s total liability for a direct project is limited to the amount paid by the client to WPSoil for the specific service giving rise to the claim. For care plans, liability is limited to the amount paid for the care plan during the three months before the claim.

22. Force majeure

WPSoil is not responsible for delays or failure to perform caused by events outside reasonable control, including internet outages, hosting outages, power failures, natural disasters, platform outages, payment processor issues, illness, war, civil unrest, government action, cyber incidents, or third-party service failures.

23. Governing law and disputes

For orders placed through Fiverr, Upwork, or another marketplace, the platform’s dispute process and applicable terms apply. For direct projects, the governing law and dispute process may be stated in the invoice, proposal, contract, or written agreement.

If no separate written agreement states otherwise, direct disputes will first be handled through good-faith communication. If a legal forum is required, the applicable law will generally be the law of Pakistan, unless mandatory consumer law, platform rules, or a signed agreement requires a different approach.

24. Changes to these Terms

We may update these Terms from time to time as our services, pricing, processes, tools, or legal requirements change. The updated version will be posted on this page with a revised “Last updated” date.
